What is your corporate philosophy?

Please describe your business.

DaikyoNishikawa Corporation has 14 consolidated subsidiaries and one affiliated companies in Japan and overseas, and is engaged mainly in manufacture and sales of plastic automotive parts. We procure raw materials from trading companies and manufacturers, from which we manufacture automotive parts, such as instrument panels and bumpers, and housing equipment and devices, such as bath unit parts, and sell them to automobile manufacturers and housing equipment manufacturers. Our segments are Japan, China & Korea, ASEAN, and Central & North America. The Japan segment is divided into the automotive parts manufacturing sector for design, development, manufacture and sales of plastic automotive parts, and another sector for design, development, manufacture and sales, etc. of housing equipment and devices. When was your company established?

After Nishikawa Kasei Co., Ltd. (absorbing company) and GP Daikyo Co., Ltd. (absorbed company) jointly established (former) DaikyoNishikawa Corporation (absorbed company) with 50% investment each, the three companies merged on April 1, 2007 to commence operating as the new DaikyoNishikawa Corporation. When do you settle your accounts?

We settle our accounts on March 31 for each year and on September 30 for half year. The results of the year-end settlement are scheduled to be announced in May. Quarterly results are scheduled to be announced in August, November, and February.

About our shares

On which market are you listed?

We were listed on the First Section of the Tokyo Stock Exchange on March 13, 2014. Following the TSE market restructuring, we were transferred to the Prime Market segment of the Tokyo Stock Exchange on April 4, 2022.

Are there any shareholder benefits?

The shareholder benefit program has been discontinued with the presentation of special benefits to shareholders holding 1 unit (100 shares) or more of our company's stock stated or recorded in the shareholder register as of March 31, 2024.

When will the shareholder benefits be delivered?

The gifts for shareholders listed on the shareholder register as of March 31, 2024, was sent on late June.
As mentioned above, the shareholder benefit program has been discontinued.

What is your dividend policy?

We position the return of profits to our shareholders as an important management task, and our basic policy is to provide stable and continuous dividends with a target consolidated dividend payout ratio of approximately 30% and a consolidated dividend on equity (DOE) ratio of 2.5% or more, while securing the internal reserves necessary for our business strategy to increase corporate value in the future, We intendsto take into consideration its business performance, dividend payout ratio, and other factors in a comprehensive manner.

When is the record date for dividend payment?

The record date for year-end dividend is March 31. The record date for interim dividend, as necessary, is September 30.

Who is your shareholder register administrator?

Mitsubishi UFJ Trust and Banking Corporation is our shareholder register administrator.

When do you hold the general meeting of shareholders?

We hold our annual general meeting of shareholders in late June every year. The date, place, and other details of the meeting are notified to shareholders as of March 31 each year in early June.

How can I exercise my voting rights at the general meeting of shareholders?

A notice of convocation of the general meeting of shareholders and a voting form are sent to shareholders listed on the shareholder register as of the end of the record date of the general meeting of shareholders (as of March 31 in case of an annual general meeting of shareholders). You may exercise your voting rights by:
  1. bringing the voting form and attending the meeting;
  2. returning the voting form after indicating your approval or disapproval on it; or
  3. accessing our designated voting site through the Internet.

Do you accept the exercise of voting rights using the Internet?

You may exercise your voting rights using the Internet only by using the voting website designated by our company. For details, please see the Notice of Convocation of the Annual General Meeting of Shareholders presented in “General Meeting of Shareholders.

Can I bring my children to the general meeting of shareholders? Or can I attend the meeting by proxy?

Only shareholders with voting rights are allowed to attend our general meeting of shareholders. We are sorry but children who are not shareholders are not admitted. As for attendance by proxy, our articles of incorporation stipulates that another shareholder with voting rights may attend as your proxy, and the proxy is required to submit a written document certifying his/her power of attorney to the company.

It varies depending on the newspaper, but in the Nihon Keizai Shimbun, our stock price is presented in the securities column as DNC, the abbreviation of our company, in the business sector “Chemical” of the Tokyo Stock Exchange Prime Market.

We give public notices electronically. However, if electronic public notice is impossible due to any malfunction or other inevitable reason, we give our public notice by publishing in the Nihon Keizai Shimbun.
